The rules for using socialxpertz.com and working with us. Clear terms make for good partnerships, so we kept them short and plain.

Each term has a short summary on the side. The summaries help you scan; the full text is what counts.
These Terms of Service ("Terms") apply to your use of socialxpertz.com and to any services you buy from SocialXpertz ("we", "us", "our"), based at 1234 SW Morrison St, Portland, OR 97205, USA. By using the website or signing a proposal with us, you agree to these Terms. If you do not agree, please do not use the website or our services.
If you accept these Terms for a company, you confirm you have authority to bind that company. "Client" or "you" then means that company.
You may browse the website, read our guides and use our free tools for your own business. You agree not to:
Free tools, calculators, checklists and guides are for general information only. Figures they show are estimates or examples, not advice for your specific business.
We provide mobile app growth and performance marketing services. These include paid social and search campaigns, user acquisition, app store optimization, conversion rate optimization, creative and AI ad production, and growth consulting.
The exact scope, deliverables, timeline and fees for each project are set out in a written proposal, statement of work or order (a "Proposal"). If a Proposal and these Terms conflict, the Proposal wins for that project. Work outside the agreed scope is quoted separately.
To let us do good work, you agree to:
Delays caused by missing access, late feedback or late approvals may move timelines.
Unless the Proposal says otherwise, ad spend is paid by you directly to each platform and is separate from our fees. You stay the owner of your ad accounts.
Ad platforms, app stores and analytics tools are run by third parties. They can change their rules, reject ads, suspend accounts or change pricing at any time. We follow their policies but are not responsible for their decisions, outages or changes.
As set out in your Proposal: monthly retainer, project fee, or a mix
Sent at the start of each month or project stage, unless the Proposal says otherwise
Within 14 days of the invoice date
We may pause work until overdue invoices are paid
Fees exclude taxes; you pay any taxes that apply, other than taxes on our income
Pre-approved costs such as stock media, tools or travel are billed at cost
Prices on our website are a guide only. The price in your signed Proposal is the one that applies. See how we price.
Monthly services continue month to month after any minimum term in the Proposal. Either side can end them with 30 days' written notice. Fees for work done up to the end date stay payable.
Fixed projects can be canceled in writing at any time. You pay for work completed and costs already committed up to the cancellation date. Fees already paid are not refundable unless the Proposal says otherwise.
Your materials. You keep ownership of everything you give us. You allow us to use it only to deliver the services.
Final deliverables. Once paid in full, you own the final ads, videos, images, copy and reports we make for you, and can use them as you like.
Our know-how. We keep ownership of our methods, templates, frameworks, prompts, tools, code and anything we made before or outside your project. Where these sit inside a deliverable, you get a lasting license to use them as part of that deliverable.
Third-party assets. Stock media, music, fonts, AI tools and creator content are used under their own licences. We will tell you about any limits, such as usage period or territory, that apply to a deliverable.
Portfolio. We may show work we made for you in our portfolio and case studies, without confidential data. Tell us in writing if you would rather we did not.
Our website. All content, designs and code on socialxpertz.com belong to us or our licensors.
Both sides will keep the other's non-public information confidential and use it only for the project. This covers things like results, budgets, strategy, pricing and account data. It does not cover information that is already public, already known, or that must be shared by law. This duty lasts for 3 years after the work ends.
We handle personal data as described in our Privacy Policy.
We work hard to improve your numbers, but marketing results depend on things outside our control. These include your product, pricing, budget, competition, platform algorithms and market conditions. So we do not guarantee any specific installs, revenue, ROAS, CPI, rankings or other results. Case studies and figures on our website show past or example results, not a promise.
We will do our work with reasonable skill and care, in line with good industry practice. Apart from that, the website and services are provided "as is". To the extent the law allows, we make no other promises, including that the website will always be available or error-free.
To the extent the law allows:
Nothing in these Terms limits liability that cannot be limited by law, such as for fraud.
You agree to cover us for claims, losses and costs that arise from materials or claims you supplied, your products or apps, or your breach of these Terms or platform rules.
Either side may end a Proposal straight away by written notice if the other side seriously breaks these Terms and does not fix it within 14 days of being told. We may also stop work if invoices stay unpaid for more than 30 days.
When work ends, we hand over paid deliverables and return or remove your access to accounts. Sections on payment, intellectual property, confidentiality, liability and indemnity continue after the end.
We may update these Terms from time to time. The date at the top shows the latest version. Changes do not affect a signed Proposal until it renews, unless both sides agree.
Ask before you sign, not after. We are happy to walk you through any part of these terms or your Proposal.
